Corgentech Inc. Bonus Agreement with Dr. Leslie McEvoy (August 24, 2001)
This agreement between Corgentech Inc. and Dr. Leslie McEvoy outlines eligibility for three annual cash bonus payments of at least $3,986.75 each, to be paid on August 24 of 2002, 2003, and 2004. Dr. McEvoy must remain employed by Corgentech on each payment date to receive the corresponding bonus. If employment ends before a payment date, no further bonuses will be paid. The agreement is signed by both parties and serves as an incentive for continued employment.

To Dr. Leslie McEvoy:
Pursuant to the terms of your offer letter dated August 18, 2000 and as an incentive toward your continued service at Corgentech, you are eligible for three (3) cash bonus payments, each equal to a minimum amount of $3,986.75, payable on August 24, 2002, August 24, 2003 and August 24, 2004, respectively; provided, however, if you cease to be an employee of Corgentech for any reason before any such payment date you shall not receive any further cash bonus payments.
