Summary

This document outlines the compensation structure for directors of AmeriGas Propane, Inc., the general partner of AmeriGas Partners, L.P., effective October 1, 2013. Directors who are not officers or employees receive annual cash retainers and equity awards in the form of phantom units. Additional cash retainers are provided for committee roles and the Non-Executive Chairman. Directors also receive employee rates on propane purchases. Officers or employees serving as directors are not compensated for board service. Certain exceptions apply, such as the Non-Executive Chairman not receiving equity compensation.
