Summary
This document outlines the compensation structure for directors of AmeriGas Propane, Inc. as of October 1, 2018. Directors who are not company officers or employees receive an annual cash retainer of $80,000 and an annual equity award valued at $85,000 in phantom units. Additional cash retainers are provided for directors serving as Presiding Director or as chair or member of key committees. Only non-employee directors are eligible for this compensation.
