Subscription Agreement between Aldel Investors II LLC and Aldel Financial II Inc. for Class B Ordinary Shares
Aldel Investors II LLC agrees to purchase 5,750,000 Class B ordinary shares of Aldel Financial II Inc. for $25,000. The agreement is subject to the company's amended and restated memorandum and articles. The shares will be registered in the name of Aldel Investors II LLC. Both parties have signed and dated the agreement on July 19, 2024.

The undersigned hereby subscribes for 5,750,000 Class B ordinary shares (the “Shares”) of the Company. In consideration for the issue of the Shares, the undersigned hereby agrees and undertakes to pay $25,000 to the Company.
