Aflac Incorporated is granting an officer a specified number of shares of restricted company stock under its 2004 Long-Term Incentive Plan. The shares are subject to restrictions, including vesting dates and/or performance goals, and will be held by the company until those restrictions lapse. The recipient has rights to dividends and voting on these shares during the restricted period. Both parties agree that the award is governed by the terms of the plan and the accompanying award agreement.
