Amendment to Employment Letter between Insituform Technologies, Inc. and Thomas S. Rooney, Jr.

Insituform Technologies, Inc. and Thomas S. Rooney, Jr. have agreed to amend Mr. Rooney's original employment letter dated March 7, 2003. The amendment removes the phrase "during your first twenty-four months of employment" from the first paragraph of Section 6 of the original letter.
