Amendment No. 3 to 1847 Holdings LLC 2023 Equity Incentive Plan
This amendment updates the 1847 Holdings LLC 2023 Equity Incentive Plan by increasing the maximum number of shares available for issuance to participants to 5,000,000. All other terms of the plan remain unchanged. The amendment is effective as of March 11, 2025.

2023 EQUITY INCENTIVE PLAN
The 1847 Holdings LLC 2023 Equity Incentive Plan, as amended (the “Plan”), is hereby amended as follows:
The first sentence of Section 4.1 of the Plan is hereby amended in its entirety to read as follows:
“Subject to adjustment as provided in Section 4.3 herein, the maximum number of Shares available for issuance to Participants under the Plan shall be 5,000,000 Shares.”
Except as herein amended, the provisions of the Plan shall remain in full force and effect.
